Code is not required for this. List.asmx webservice is already there in your sharepoint.
Enter following format in the browser to open lists.asmx webservice.
http://<yourservername>/_vti_bin/lists.asmx
As Anuma said, no need to use code for list.asmx. Use the following url to open the webservice.
ex: http://server14/_vti_bin/lists.asmx
here server14 -à your server name where the share point is installed.
