Multiple Data Validation is not working

I have a dropdown box (name) where I want to use validation for not being blank based on value of other dropdown box (code).

If Code <> "SH" or "PS" then Name 'cannot be blank'

I tried in 'Data Validation' window (1st way):

Condition 1: If true: Code is not equal to "SH" and Name is blank, then show alert
Condition 2: If true: Code is not equal to "PS" and Name is blank, then show alert

If I put just one condition it works, if I put both it does not work!

    2nd way:

If true: Code is not equal to "SH" or Code is not equal to "PS" and Name is blank, then show alert

    This is not working either.

    What am I missing?

    Thanks for time and help,

You should use the second way, but have "Code is not equal to "SH" AND Code is not equal to "PS" and Name is blank"

    Thank you, it worked.

Just so that I understand better: when more than one condition is given how does that work? Is every rule checked? Is final output altered by every rule in sequential order?

    Thanks again,
